This contract is between G Candy Design(Contractor) and Client(Company or Individual), regarding payment & services agreement. 

G Candy Design will provide a quote or estimate to the client with the rate (hourly/project). If the Client is happy with the quote/estimate and terms of engagement, the Contractor will provide an invoice for the deposit of the project. 

All projects worked on by G Candy Design require a 25% deposit prior to commencing any work for the Client.


SECTION 01 - PAYMENT


Fees are due and payable on the following schedule:

25% deposit upon agreement (Initial Payment)

Final amount due upon completion of the project (Final Payment)

Initial Payment is required upon signing the agreement, and is due prior to the Project Start Date (detailed in Section Two). Deliverables, and Ownership of copyright will only be transferred upon receipt of the Final Payment. Payments are non-refundable.


Terms of Payment

(a) Payments of invoices is to be made within 7 days following the invoice being sent (“the due date”) without demand, deduction or set-off.

(b) If payment is not made by the due date interest may be charged by G Candy Design, at a rate of 2% per month (“the default rate”) for the period during which the payment is overdue. Default interest shall continue to accrue at the default rate on the overdue amount after judgment has been obtained by us for recovery of all amounts claimed. 


SECTION 02 - PROJECT START DATE & DEADLINE


G Candy Design will commence work once the deposit has been paid in accordance to the payment terms of this contract as set out in Section One

The Client and G Candy Design will agree on a suitable deadline dependent on the Project worked on for the Client.


SECTION 03 - CHANGE REQUEST


If there is any change request (deviation from the initial specification & terms), a change request form will need to be filled out and new costings to be drawn up for this new addition. 


SECTION 04 - FEEDBACK


Feedback is defined as a written response to questions asked by G Candy Design that are needed in order to proceed with the project.  

A Feedback Delay is defined as failure to provide a written response to a request for feedback within 1 business day. Feedback Delays will result in the Time Frame being pushed back the same number of days Feedback has been delayed. Feedback Delays resulting in a total of 5 business days may result in a redefinition of the Project Time Frame by G Candy Design.


SECTION 05 - WORK COMPLETION

Client will sign off the work after it has been completed by Contractor to an acceptable standard and to specification. The final invoice shall be drafted up and paid for by Client and only after payment will the copyright be fully transferred to Client. Any assets that were created under the work agreement will be transferred in their full editable format (copy, designs, source code, plans, mock-ups, etc.) and will be owned by the Client.


SECTION 06 - OWNERSHIP & COPYRIGHT


Upon receipt of the Final Payment, G Candy Design irrevocably transfers right of copyright and exclusive use of the file(s) defined in the Deliverables to The Client. Delivery of file(s) does not indicate a transfer of rights. G Candy Design retains ownership and right of copyright until all payments have been made. 

G Candy Design retains the right to display graphics and other design elements of work in a portfolio as well as to submit them to online galleries. 


SECTION 07 - DISPUTES
 

Both Contractor and Client agree to raise any issues early and do their best to resolve any grievances. The Client will need inform the Contractor immediately if work is to stop mid-way through their work agreement, and if this happens the Client agrees to remunerate the Contractor for work completed up to the stop period.


SECTION 08 - NON-DISCLOSURE


Contractor agrees not to share any information that they have gained during the engagement period of work with company. This includes processes, pricing, trade secrets, or even clients. 


SECTION 09 - USE OF WORK ON PORTFOLIO


G Candy Design and the Company will come to an agreement on what work can be used on the Contractor’s portfolio and this will be based on the project and client. 

G Candy Design retains the right to display graphics and other design elements of work in a portfolio as well as to submit them to online galleries. 


Prior to the beginning of any and all projects, a copy of this Design Contract will be provided to the Client.
